Grocery Insights — A3C Labs Inc. Version: 1.2
These Terms & Conditions (the "Terms") govern your use of the Grocery Insights app, the Grocery Insights websites, and related services (the "Service"). They form an agreement between you and A3C Labs Inc. ("A3C Labs", "we", "us", or "our").
Please read these Terms before creating an account or purchasing a subscription. By accepting these Terms or using the Service, you agree to them. If you do not agree, do not use the Service. Acceptance of these Terms does not replace any separate privacy consent required for a particular use of your information.
Nothing in these Terms takes away a consumer, privacy, language, warranty, or other right that cannot lawfully be excluded or limited.
1. Eligibility and your account
You must be legally capable of agreeing to these Terms. If you are below the age of majority where you live, use the Service only with the permission and supervision of a parent or legal guardian who accepts responsibility as permitted by law. Any applicable requirements for parental consent and Apple's purchase eligibility also apply.
Provide accurate account information and protect your device and sign-in credentials. You are responsible for your authorized use of the account and should notify us promptly of suspected unauthorized access. We may request reasonable verification before making sensitive account changes.
Sign in with Apple is provided by Apple and is also subject to Apple's applicable terms. Do not create or use accounts for fraud, abuse, or unlawful activity, or sell or transfer access without our permission.
2. What Grocery Insights provides
Grocery Insights helps you capture or enter grocery purchases, review extracted receipt information, organize purchase history, and understand spending, categories, budgets, and savings. Additional features may include lists, household organization, or other tools when offered in your app version or plan.
Features, supported receipt types, scan allowances, and access can vary by app version, device, region, subscription, and technical availability. The offer presented before purchase describes the features and limits of your plan. A feature discussed as planned or coming soon is not included until it is released or expressly included in your offer.
We grant you a limited, personal, non-exclusive, non-transferable licence to use the Service for lawful personal or household purposes, subject to these Terms and any applicable Apple licence. You do not receive ownership of the Service's software or branding.
3. Your receipts and other content
You retain the rights you have in your receipt images, entries, corrections, and other content you submit ("Your Content"). You give us a non-exclusive licence to host, copy, transmit, process, and display Your Content only as reasonably needed to provide, secure, troubleshoot, and support the Service, perform the uses described in the Privacy Policy with any required consent, and comply with law.
This licence does not give us permission to sell your receipts, publish them as marketing material, or use them for an unrelated purpose. Provider processing and any additional use of personal information remain subject to the Privacy Policy, applicable law, and required permissions. The licence continues after deletion only to the limited extent needed for lawful retention and processing described in that policy.
Submit only content that you are entitled to use. Avoid including unnecessary personal identifiers or information about other people. Do not upload unlawful, infringing, malicious, or unrelated material.
4. Scanning, AI, and accuracy
Receipt scanning uses OCR, automated checks, product matching, and third-party AI processing. Results are not guaranteed to be accurate, complete, consistent, or available within a particular time.
Image quality, store abbreviations, receipt layouts, weighted items, returns, discounts, taxes, and processing availability can affect the result. A receipt may contain missing or duplicated lines, incorrect amounts, an unsuitable category, or a total that needs review. Reprocessing the same receipt may produce different wording, categories, or other results.
Check the retailer, transaction date, items, quantities, prices, discounts, taxes, and total against the original receipt before relying on a record. A result marked for review is not a verified final record. Keep the original receipt for returns, warranties, reimbursement, accounting, or other purposes where an original or independently verified record is needed.
Spending and savings insights are based on the information available to the Service. They are not a guarantee of future savings, the lowest available store price, a cash reward, or a complete record of your purchases. We are not responsible for a retailer's pricing, refund, or return decisions.
5. Informational use
The Service is an organizational and informational tool, not professional financial, accounting, tax, legal, medical, or nutritional advice. You remain responsible for decisions made using its information.
Any household-inventory, shelf-life, or similar suggestion offered by the Service is an estimate, not a food-safety assessment. The Service does not inspect products or know their actual storage conditions. Do not rely on it to determine whether a product is safe to consume.
6. Subscriptions and usage limits
Plans, pricing, and access
Some or all features require an auto-renewing subscription purchased through Apple's App Store. Review the price, currency, billing period, included features, usage limits, and any introductory offer shown in the app and Apple's purchase confirmation before subscribing.
A monthly equivalent displayed for an annual plan is a comparison, not a promise of monthly billing. The annual charge and billing period shown when you confirm the purchase apply. Storefront prices and taxes can vary. If two screens show conflicting information, do not proceed until the discrepancy has been resolved.
Any applicable scan or usage allowance is the allowance displayed for your plan. These Terms do not promise unlimited scanning or a particular treatment of failed scans. Contact support if the displayed allowance appears incorrect or a technical problem has affected it.
Free trials and introductory offers
A trial is available only when offered and when Apple determines that your account is eligible. Its length, conversion price, and billing period are shown before confirmation. Eligibility for one plan does not guarantee a second trial when changing plans.
Unless cancelled in time, a trial converts to the paid subscription described in the offer. Apple's instructions advise cancelling a free or discounted trial at least 24 hours before it ends to avoid renewal. The cancellation confirmation shows when access ends; trial access may end earlier than access to an already-paid period.
Automatic renewal and price changes
Subscriptions renew automatically until cancelled. Apple bills the payment method associated with your Apple Account under the purchase and renewal terms it displays. Future price changes are subject to Apple's processes, applicable notice or consent requirements, and consumer law.
Cancellation
Manage your subscription through iPhone Settings → your name → Subscriptions → Grocery Insights. Follow Apple's cancellation steps and check the resulting expiry or cancellation information.
Uninstalling the app, signing out, deleting receipts, or deleting your Grocery Insights account does not automatically cancel the subscription. A cancelled paid subscription generally remains active until the end date shown by Apple, unless Apple's terms or applicable law provide otherwise. Cancellation does not by itself request a refund.
Apple's subscription cancellation instructions
Refunds
Apple handles App Store charges and refund requests. Eligibility depends on Apple's process and applicable law. Submit a request through Apple's refund service; we can help investigate a related Grocery Insights access problem but cannot guarantee Apple's decision. Nothing in these Terms excludes a refund or other remedy required by law.
Restoring purchases and changing plans
Use Restore Purchases in the app to request recognition of an eligible existing subscription. Use the Apple Account that made the purchase and the appropriate Grocery Insights account. Restoration does not create a new free trial or recover deleted Grocery Insights data.
Plan changes, their effective dates, and any applicable billing adjustments are determined through Apple's subscription system. Check Apple's confirmation rather than assuming every change takes effect immediately.
7. Acceptable use
Do not use the Service to violate the law or another person's rights, upload malicious content, gain unauthorized access, bypass subscriptions or security controls, overload systems, or interfere with another user's account.
Do not resell access, extract non-public information, or use automated requests outside interfaces and limits we have authorized. Restrictions on reverse engineering or similar activity apply only to the extent permitted by law. Reporting a suspected security issue responsibly to support does not authorize testing that accesses other users' data or disrupts the Service.
8. Intellectual property and feedback
Our software, interface designs, branding, and other materials are owned by A3C Labs or its licensors. Your rights in Your Content are not transferred to us by this section. Third-party names and marks remain the property of their owners; mentioning a retailer does not imply an endorsement or partnership.
You may provide feedback voluntarily. We may use suggestions to improve the Service without payment or an obligation to implement them. Personal information in feedback remains subject to the Privacy Policy; we will not publish a testimonial attributed to you without permission.
9. Privacy and third-party services
The Privacy Policy explains how we handle personal information, including receipt processing by external providers. Read it before submitting receipts.
The Service relies on third parties such as Apple, hosting providers, and AI providers. Their availability can affect features. We remain responsible for our own obligations under these Terms and applicable law; third-party involvement does not remove those obligations.
For an app downloaded from the App Store, Apple's Licensed Application End User License Agreement applies to the app licence unless a different valid licence is supplied through the App Store. These Terms govern the related Grocery Insights service and do not replace Apple's applicable terms. If there is a conflict about the app licence, the applicable App Store licence governs that issue.
10. Availability, updates, and changes
We do not promise uninterrupted operation or support for every receipt, device, or network. Maintenance, outages, updates, processing limits, and third-party failures may delay or prevent a feature from working. You may need an internet connection and a supported app version.
We may improve or change the Service and may need to remove or suspend a feature for security, legal, or operational reasons. For a material reduction in paid functionality, we will provide notice where practicable and any notice, refund support, cancellation right, or other remedy required by law. These Terms do not authorize us to disregard the offer on which you purchased a subscription.
11. Suspension, account closure, and deletion
We may restrict or suspend access when reasonably necessary to address fraud, a material breach of these Terms, a security risk, a legal requirement, or a subscription that is not valid. The response will be proportionate to the circumstances. Where appropriate, we will explain the issue and give you an opportunity to resolve it.
You may stop using the Service and initiate account deletion through the app. Deletion and any limited retention are governed by the Privacy Policy. Save any information you need before completing deletion. You must manage Apple subscription cancellation separately.
If we discontinue a paid service or terminate paid access for a reason other than your breach, we will provide the remedies required by applicable law and reasonably assist with the relevant Apple billing process.
12. Disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available", without a guarantee that it will be error-free, fit every purpose, or produce complete or accurate results. We exclude implied warranties or conditions only where the law allows that exclusion.
These statements do not limit our express commitments or any warranty, condition, or consumer protection that cannot legally be excluded.
13. Limitation of liability
To the fullest extent permitted by applicable law, A3C Labs Inc. and its directors, officers, employees, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Service or these Terms. This includes lost profits, revenue, business opportunities, anticipated savings, goodwill, or data, to the extent those losses fall within the excluded categories. These exclusions apply whether the claim arises in contract, tort, including negligence, or otherwise, even if we have been advised of the possibility of such losses.
You are responsible for reasonably reviewing extracted receipt information, calculations, categories, and other automated results against your original records before relying on them. To the extent permitted by applicable law, we are not responsible for losses to the extent caused by inaccurate or incomplete information you provide, your misuse of the Service, or your failure to take reasonable precautions expressly described in the Service or these Terms.
To the extent permitted by applicable law, we are not liable for delays, interruptions, or failures caused by circumstances beyond our reasonable control that could not reasonably have been prevented or mitigated. This does not exclude responsibility for our own breach of an obligation that cannot lawfully be excluded, including obligations concerning personal information processed by our service providers. Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited, including any such liability for fraud, wilful misconduct, gross negligence, death, bodily or moral injury, or violations of mandatory consumer or privacy protections. Where applicable consumer law prohibits excluding responsibility for our own acts or those of our representatives, the exclusions above do not apply to that responsibility. Your non-waivable rights and remedies, and the powers of courts, tribunals, and regulators, remain unaffected.
14. Governing law and resolving concerns
These Terms are governed by Ontario law and the federal laws of Canada applicable there, subject to mandatory protections that apply where you live. Ontario courts have non-exclusive jurisdiction, without preventing you from using a court or process available to you under applicable consumer law.
Please contact support when a problem arises so we have an opportunity to help. This invitation is not a condition that prevents you from making a complaint or exercising a legal right. These Terms do not require binding arbitration or a waiver of class proceedings.
Nothing in these Terms limits a right to receive information or enter into an agreement in French or another language where that right applies.
15. Changes to these Terms
We may update these Terms to reflect changes to the Service or legal requirements. We will publish the revised Terms and effective date and provide additional notice or obtain agreement where required. Material changes apply prospectively and do not remove rights that have already arisen.
Any legal right to reject a change or cancel remains available. Changes to App Store billing or renewal also follow Apple's processes and applicable law.
16. General and contact information
If a provision is unenforceable, it will be limited or removed only as necessary, and the remaining provisions will continue to apply. A failure to enforce a provision is not a waiver. We may transfer our rights and obligations as part of a lawful reorganization or transfer of the Service, subject to applicable protections for your rights and information.
These Terms, the applicable App Store licence, and the plan-specific terms presented when you subscribe govern the corresponding parts of your relationship with us. The Privacy Policy explains our personal-information practices and does not reduce statutory privacy rights.
